Terms of Service

1. Agreement to terms

If you do not agree to these Terms, please do not use the service.

2. Description of service

Matters2U is a personal life-tracking service that lets users organize entries about their health, home, family, cars, and more into folders with custom, one-tap buttons. The service includes voice and typed entries with AI-powered organization, one-tap button entries, nested folders with AI-suggested buttons, attachments (photos, documents, locations, and links), an optional Google Calendar and Google Tasks import, and a weekly AI-generated summary from Pinn, your Matters2U companion.

3. Eligibility

You must be at least 13 years old to use Matters2U. By using the service, you represent that you meet this requirement. If you are under 18, you represent that you have your parent or guardian's permission to use the service.

4. Your account

4a. Account creation

You may sign in with a Google account or create an account with your email address and password. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

4b. Account security

You agree to notify us immediately at hello@apexmindworks.ai if you become aware of any unauthorized use of your account.

4c. Account deletion

You may delete your account at any time by contacting us at hello@apexmindworks.ai. Upon deletion, your entries and personal data will be removed within 30 days as described in our Privacy Policy.

5. Acceptable use

You agree to use Matters2U only for lawful purposes. You agree not to:

• Use the service for any illegal purpose or in violation of any applicable laws
• Upload or transmit content that is harmful, offensive, defamatory, or infringes on the rights of others
• Attempt to gain unauthorized access to any part of the service or its underlying infrastructure
• Use the service to collect or store personal information about others without their consent
• Reverse engineer, decompile, or attempt to extract the source code of the service
• Use automated tools, bots, or scripts to access or interact with the service in a manner not intended
• Resell, sublicense, or otherwise commercially exploit the service without our written permission

6. Your content

6a. Ownership

You retain full ownership of all content you enter into Matters2U — your entries, folders, buttons, attachments, and notes belong to you.

6b. License to us

By using Matters2U, you grant ApexMindworks a limited, non-exclusive license to process your content solely for the purpose of providing the service to you. We do not use your content to train AI models or for any purpose other than operating and improving your personal experience of Matters2U.

6c. Your responsibility

You are responsible for the content you enter into Matters2U. Do not enter sensitive information such as full financial account numbers, government ID numbers, or passwords into the service.

7. AI-generated content

Matters2U uses artificial intelligence (Pinn) to process your voice and typed entries, suggest folders and buttons, and generate your weekly summary. You acknowledge that AI responses may not always be accurate, complete, or appropriate for your specific situation, and that AI-generated content regarding health, legal, financial, or other professional matters should not be relied upon as professional advice. Consult a qualified professional for such matters. You are responsible for verifying important information before acting on it.

8. Google Calendar and Google Tasks integration

Matters2U offers an optional integration that imports events and tasks from Google Calendar and Google Tasks into your account. This feature is only active if you choose to connect it, and you can disconnect it at any time in settings or through your Google account permissions. Your use of Google Calendar and Google Tasks remains subject to Google's own terms of service, separate from these Terms.

9. Pricing and beta access

Matters2U is currently free to use while the service is in beta, with full access to its features. We may introduce paid plans in the future; if we do, we will provide reasonable advance notice before any pricing takes effect, and continued use of the service after that notice constitutes acceptance of the new pricing.

10. Intellectual property

Matters2U, including its design, features, brand, and underlying technology, is the intellectual property of ApexMindworks. The Matters2U name, logo, and mascot ("Pinn") are trademarks of ApexMindworks. You may not use our intellectual property without our written permission.

If you provide feedback or suggestions about Matters2U, you grant us the right to use that feedback without compensation or attribution.

11. Privacy

Your use of Matters2U is governed by our Privacy Policy, which is incorporated into these Terms by reference.

12. Third-party services

Matters2U integrates with third-party services including Google Firebase for authentication and storage, Anthropic's Claude for AI processing, and the Google Calendar/Tasks API for the optional import feature. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices of these third-party providers.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APEXMINDWORKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF GOODWILL. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

15. Indemnification

You agree to indemnify and hold harmless ApexMindworks and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the service, your content, or your violation of these Terms.

16. Termination

We may suspend or terminate your account at any time if we believe you have violated these Terms or if your use of the service creates a risk to us or other users. You may terminate your account at any time by contacting us at hello@apexmindworks.ai.

17. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of Matters2U shall be resolved in the courts of San Diego County, California.

18. Changes to these terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top. If changes are material, we will notify you by email or through the app. Your continued use of Matters2U after changes are posted constitutes your acceptance of the updated Terms.
